REMINDER: IM24CA’s Extraordinary General Meeting will take place on December 21

December 19, 2016 - IM24CA - This is to remind you that because the Treasurer elections were not held at the Annual General Meeting in Munich on November 5th, World Council decided to call for Extraordinary General Meeting. Treasurer’s post was left open due to the need of clarification of the Constitution. The World Council of the International Melges 24 Class Association has decided to call for the EXTRAORDINARY GENERAL MEETING on December 21.

This is to remind you that IM24CA’s Extraordinary General Meeting (EGM) will take place on December 21 at 9 pm CET as online Zoom meeting (more particular information about the details will be sent to the invitees by e-mail)

Meeting procedures for the EGM will be the same as AGM and according to the constitution.

The deadline to submit the motions to the announced Agenda was November 23rd. For that deadline two submissions were received by IM24CA’s Administrator.
To the Agenda point 2 – Incoming motions, please find attached 2 submissions:

• Changing existing constitution item 5 – IM24CA executive committee officers
• Create new constitution item 8 – MEDIA AND SPONSORSHIP COMMITTEE

Participation:                   

Due to the heavy workload and the fact that so many of you were busy with the World Championship in Miami, the deadline

• for each NCA to announce their participation
• or to inform the IM24CA Administrator of the name of their appointed World Council member or proxy substitute 

has been postponed until December 20^th, 10 pm UK time.

Each invitee shall announce his participation by December 20^th, 10 pm UK time to the Administrator of the class at piret@melges24.com

While sending the proxy you should also send the clear votes for the following Agenda items – the votes shall be written to the proxy form (click on the link for proxy form):

If a World Council Member is unable to attend a meeting, his NCA may appoint a substitute for that meeting only. Such designations shall be in writing and received by the Administrator of the IM24CA prior to the meeting.

Explanation to the Election of Treasurer

According to the IM24CA Constitution Extraordinary and Annual General Meeting have the same voting procedures:

12.8 Voting at AGM shall be by simple majority of the votes cast. In the event of a tied vote the Chairman shall have a casting vote. If the Chairman is absent from the meeting the chairman of the meeting shall have a casting vote. 
12.9 The quorum at AGM shall be 60% of the member National Class Associations, represented in person or by proxy, who shall be from at least two Continents and who are entitled to vote at the meetings. 
12.10 A member National Class Association may not vote for more than two (2) proxies. 
12.11 No NCA shall ever be allowed to cast more than 42.5% of the total votes available at that meeting. 

IM24CA World Council has one valid nominee for the post of Treasurer.

In case World Council members in present and with proxies will give a majority vote to the current nominee, IM24CA will have a new Treasurer.  In case a majority vote will not be given to the only nominee, IM24CA won’t have a Treasurer.

Constitution item 5.3 does not state clearly the case if the only nominee fails to get the majority vote. 
5.3. Each Executive Officer position is for three (3) year term period. Term limits are set to two consecutive terms in the same Executive Committee position. For the position of Treasurer, if no nominations for replacement at the term completion are forthcoming, World Council can extend the term on a year to year basis by majority vote. The Chairman of the Technical Committee shall be appointed by the Executive Committee on an annual basis, but with no fixed limit to the period of office.

In case the only nominee won’t get the majority vote at the EGM, we need to consider the following options as IM24CA cannot survive without Treasurer:

a) Shall we postpone for another nomination process?   YES / NO / ABSTAIN
b) Shall we go back to extending the position for the latter treasurer by a majority vote of the assembly?  YES / NO / ABSTAIN

This is to explain you the potential scenarios of the voting. With this in mind we would like to give you a chance to vote on these two options by email or with your proxy.

In case the current nominee will get a majority vote, no further process is needed.
